Terms & Conditions of Business

THESE ARE THE STANDARD TERMS AND CONDITIONS BETWEEN REACH DIGITAL LTD AND THE CLIENT

  1. DEFINITION OF TERMS

    • REACH DIGITAL LTD – Unit 1, Woodhouse Farm Barns, Dedham Road, Stratford St Mary, Colchester, Essex CO7 6FH, trading as REACH DIGITAL LTD.
    • The Client – The entity entering into a contract with REACH DIGITAL LTD.
    • Domain Name – The root address of a website, e.g., www.reachdigital.media. All names must be registered with the appropriate authority, which will usually charge a fee.
    • Downtime – Time when the website is inaccessible due to technical issues or maintenance.
    • Host – The company where the Website physically resides.
    • Link, Hyperlink – A clickable link embedded on a webpage that may take the form of text or graphics.
    • Search Engine – A website directory enabling users to find websites by subject classification.
    • Website – A collection of web pages and associated code forming an integrated presence.
    • The Work – The subject matter of the contract between the Client and REACH DIGITAL LTD.

  2. FEES

    2.1 Fee Payable
    A non-refundable deposit 50% of the total fee under the agreement is due upon signing. The remaining 50% is due upon completion, subject to Clauses 4.3 (Approval of Work) and 4.4 (Rejected Work). Reach Digital Ltd reserves the right not to start work until the deposit is paid in full. The fee does not include domain registration, hosting setup fees, or hosting.

    2.2 Maintenance Fees
    Maintenance is month-to-month, with a minimum of £60 + V.A.T per month where updates are needed. Fees are assessed at £75 + V.A.T per hour or part thereof, and no fee is required if no updating is necessary. Additional search engine submissions beyond the initial contract are included in the maintenance fee.

  3. DISCLAIMERS

    3.1 Third Parties
    Reach Digital Ltd takes no responsibility for services provided by third parties, including website hosting, though it will endeavour to minimise website downtime.

    3.2 Maintenance and Correction of Errors
    Reach Digital Ltd is not responsible for maintaining the Website after project completion unless under a maintenance contract. Technical errors attributable to Reach Digital Ltd will be corrected free of charge, but additional fees may apply for issues outside its control, such as malicious modifications or errors in client-provided content.

    3.3 Extent of Work
    Website installation on the Internet includes uploading files to the Host and testing functionality.

    3.4 Consequential Loss
    Reach Digital Ltd is not liable for financial or other damages due to software failure. Clients should back up their data regularly to minimise possible losses.

    3.5 Status and Duration of Offers
    Offers are valid for one month. Reach Digital Ltd is not obligated to honour expired offers. An offer becomes legally binding once an acceptable timetable is agreed upon within the offer period.

    3.6 Search Engine Listings
    Reach Digital Ltd cannot guarantee search engine listings or rankings as these depend on search engine algorithms, which are subject to frequent changes.

  4. COMPLETION OF WORK AND PAYMENT

    4.1 Completion of Work
    Reach Digital Ltd commits to completing work according to agreed specifications. Additional charges will not apply unless the client modifies the scope of work.

    4.2 Supply of Materials
    Clients must provide materials necessary to complete the work, such as photos, text, and logos. Reach Digital Ltd may extend deadlines if delays result from the client’s failure to supply materials.

    4.3 Approval of Work
    Upon completion, the Client has seven days to review the work. Any unreported issues within this period are deemed approved.

    4.4 Rejected Work
    If the Client rejects the work and Reach Digital Ltd finds the rejections unreasonable, the contract will be considered expired, and Reach Digital Ltd may pursue payment in full.

    4.5 Payment
    Reach Digital Ltd invoices the remaining balance upon approval, due within 14 days as standard.

    4.6 Remedies for Overdue Payment
    If payment is not received by the due date, Reach Digital Ltd reserves the right to suspend ongoing work until full payment is made. After 21 days of non-payment, Reach Digital Ltd may apply an interest rate of 8% per annum above the Bank of England base rate. Additionally, Reach Digital Ltd reserves the right to pass the debt to specialist collection agencies or sell the debt to a third party for recovery, with any associated fees borne by the Client.

  5. INTELLECTUAL PROPERTY

    5.1 Offers and Proposals
    All proposals remain Reach Digital Ltd’s property and should not be shared without permission.

    5.2 Warranty by Client as to Ownership of Intellectual Property Rights
    The Client is responsible for permissions on any materials they supply to Reach Digital Ltd for use on the Website.

    5.3 Domain Name
    Any domain name obtained will belong to the Client, who indemnifies Reach Digital Ltd against third-party claims.

    5.4 Licensing
    Upon full payment and approval, the Client is granted a licence to use any Website assets provided by Reach Digital for its intended use only.

    5.5 Trade Secrets
    Any proprietary code owned by Reach Digital Ltd cannot be modified or shared without written permission.

  6. RIGHTS AND RESPONSIBILITIES

    6.1 Right to Terminate
    Reach Digital Ltd reserves the right to refuse or terminate contracts if material is deemed illegal or unacceptable.

    6.2 Events Beyond the Control of Reach Digital Ltd
    Reach Digital Ltd is not liable for contract breaches due to external factors like software failures or natural events.

    6.3 Supply and Pricing of Services
    Reach Digital Ltd may adjust prices and third-party software as needed without affecting existing agreements.

  7. INTERPRETATION

    7.1 Jurisdiction
    This Agreement is governed by UK and Irish law, with jurisdiction over legal actions arising from the contract.

    7.2 Survival of Contract
    If any contract term is deemed void, the remaining terms remain enforceable.

    7.3 Change of Terms and Conditions
    Reach Digital Ltd may update these terms, and the Client will be informed of revisions
